By accessing or using the Service in any manner, including visiting, browsing, registering, authenticating, or purchasing a subscription, you acknowledge that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms or the Privacy Policy, you must not access or use the Service. You represent and warrant that you have the legal authority to enter into these Terms and to comply with all applicable local, national, and international laws and regulations in connection with your use of the Service. Your continued use of the Service after any changes to these Terms constitutes your acceptance of such changes. ## 2. Changes to the Terms We are constantly working to improve our Service, and as a result, these Terms may need to change. We reserve the right to modify these Terms at any time. Third-Party Services and Responsibility We use third-party providers ("Third Party Services") to help deliver and improve our Service, including authentication, payments, network security, and analytics. Your interactions with Third Party Services are governed by their own terms and privacy policies. We are not responsible for the content, practices, or failures of any Third Party Services. ## 6. Payment Terms and Auto-Renewal The Service is offered on a subscription basis with recurring billing cycles. By purchasing a subscription, you authorize us to charge your payment method at the beginning of each billing period for the applicable subscription fee, at the then-current non-promotional rate. Subscriptions will automatically renew for the same duration unless canceled before the end of the current billing period. You may cancel your subscription at any time by accessing your billing settings. Cancellation will take effect at the end of your current billing period, and your subscription will not be renewed. You will retain access to the Service until the end of the period already paid for. Paid Services cannot be canceled mid-term for a refund. If you do not wish to be charged for the next billing period, you must cancel your subscription before it renews. If we change the price of your subscription, we will notify you in advance and the new price will apply only from your next renewal — never mid-term. Your continued use of the Service constitutes authorization to continue charging your payment method. ## 7. Free Plan, Promotions, and Beta Features We offer a free plan that you may use for as long as you like. We reserve the right to change the limits, features, or availability of the free plan at any time; where reasonably possible, we will announce material changes in advance. We may offer promotions, discounts, or coupon-based offers at our sole discretion, and may modify, suspend, or discontinue them at any time. Participation in a promotional offer does not guarantee its future availability. Features marked as beta, preview, or "coming soon" are provided as-is for evaluation, may change or be withdrawn without notice, and are excluded from any commitments we make about the Service. ## 8. Refund Policy All purchases and subscription payments are final and non-refundable, including usage-based resources such as monitoring checks, alert notifications, or other Service features. You may cancel your subscription at any time; however, cancellation will take effect at the end of your current billing period, and you will continue to have access to the Service until that date. You will not receive a refund or credit for any portion of the subscription period already paid, regardless of usage. Except as required by applicable law or explicitly stated in these Terms, we do not offer refunds or credits for any used or unused Service time. If you are a consumer in the European Union, you have a statutory 14-day right of withdrawal for online purchases. By purchasing a subscription, you request that the Service begins immediately, and you acknowledge that once performance has begun with your consent you lose the right of withdrawal to the extent permitted by law. Nothing in this section limits any mandatory consumer rights that cannot be waived. We reserve the right to deny refund or credit requests at our sole discretion, including but not limited to cases of abuse, fraud, or violation of these Terms. ## 9. Customer Content and License You retain full ownership of any data, content, and materials ("Customer Data") you upload or process through the Service, including monitored endpoints, configurations, and alert settings. You grant us a non-exclusive, worldwide, royalty-free license to host, store, copy, process, and transmit your Customer Data solely for the purpose of providing and maintaining the Service . We do not sell, share, or analyze Customer Data for marketing, advertising, or any unrelated purposes. We do not access, modify, or interact with Customer Data unless strictly necessary to operate the Service. We may generate and use aggregated, anonymized operational statistics (for example, the total number of checks performed by the platform) that do not identify you, your organization, or your monitored endpoints. ## 10. Data Deletion Upon termination, expiration, or deletion of your account or monitored endpoints: - All associated Customer Data is deleted from our production systems. - Residual copies may persist in encrypted backups for a limited period (typically up to two weeks) before being permanently overwritten; backups are used only for disaster recovery, not to restore individually deleted data. - We cannot restore deleted data. We are not responsible for any loss of data following deletion. ## 11. Customer Responsibilities and Prohibited Activities You must: - Use the Service only for lawful purposes and in accordance with all applicable laws. - Only add monitoring targets (URLs, hostnames, IP addresses, servers, or services) that you own, operate, or are expressly authorized to monitor. You are solely responsible for ensuring such authorization. - Take responsibility for any content you publish through the Service, including public status pages and their subdomains. - Maintain accurate and current account information. - Monitor and control all activities conducted through your account. - Respect the rights and security of others. You must NOT: - Engage in illegal activities (including fraud, money laundering, child exploitation, terrorism financing). - Upload or distribute abusive, harassing, defamatory, obscene, or otherwise unlawful content. - Send spam, phishing, scams, or unauthorized mass communications. - Introduce viruses, malware, spyware, ransomware, or other malicious software. - Attempt unauthorized access to systems, servers, or databases. - Use crawlers, bots, spiders, or automated systems without prior written permission. - Perform or facilitate denial-of-service (DoS) or distributed denial-of-service (DDoS) attacks, or use the Service's monitoring infrastructure as a load-testing, stress-testing, scanning, or reconnaissance tool against systems you are not authorized to test. - Circumvent or attempt to circumvent plan limits, rate limits, or usage restrictions (including on free diagnostic tools). - Reverse-engineer, decompile, or disassemble any part of the Service. - Circumvent security features or authentication measures. - Use the Service to compete with Innospike, UAB or develop competing products. - Damage or tarnish the reputation or goodwill of Innospike, UAB. Violation of these responsibilities may result in immediate account suspension or termination without refund, and reporting to law enforcement authorities if necessary. ## 12. Free Tools and Public Diagnostics Parts of the Service — the free diagnostic tools, public result pages, and any check you can run without an account — are made available without registration and subject to rate limiting. Permitted use. You may use these tools against systems you own, or that you have documented authorisation from the owner to test. That is the entire permitted scope. Prohibited use. You must not use the free tools, or any public endpoint of the Service, to: - probe, scan, enumerate, or test the security of any system you do not own or are not expressly authorised to test; - search for, identify, or exploit vulnerabilities, misconfigurations, or exposed services belonging to a third party; - route traffic through our probe network in order to obscure its origin, evade a block, or avoid attribution; - generate load against a third-party system, including volumetric testing, amplification, or repeated automated runs against the same target; - circumvent rate limits, whether by rotating addresses, distributing requests across clients, or automating the interface; or - systematically scrape, resell, or redistribute tool output as a service of your own. Results are provided as-is. A diagnostic result describes what our probes observed at one moment from one set of locations. It is not a security assessment, not advice, and not a warranty about the target. You are solely responsible for how you use the tools and what you do with the output , including for obtaining any authorisation required before running a check. Enforcement. We may rate-limit, throttle, block, or refuse access to the free tools at any time, with or without notice, and without giving a reason. Abuse records and lawful requests. Because these tools can reach any system on the internet, we keep a security record of each run — the time, the originating IP address, which tool was used, and the target supplied — so that reports of misuse can be investigated and answered. Secret values such as authorisation headers, cookies and API keys are removed before the record is written, and request bodies are never stored. Where we are investigating suspected abuse of the Service, or where we receive a lawful request from a competent authority or are otherwise required by applicable law, we may preserve and disclose these records.
